Important limitation not made clear at incorporation
I am giving this rating because the incorporation process did not clearly explain an important limitation in the service. I wanted to include my holding company as a shareholder from the outset, but the system did not allow this during incorporation. The chatbot only stated that this could not be done as part of the application, without clearly explaining that correcting the structure afterwards would require additional time, effort and paid services. As a result, I incorporated multiple companies in a structure I did not intend, and I am now expected to spend further time and money fixing something that should have been made clear at the start.

As outlined in our email correspondence, your initial enquiry via our chatbot related to adding a corporate shareholder during the application process to form a company with us. You were informed by the chatbot that we do not incorporate companies with corporate shareholders, and the chatbot offered to provide guidance on how to add a corporate shareholder after incorporation if you wished. I have reviewed the chat log and can see that you did not accept this offer of additional guidance from the chatbot.
I can see that you proceeded to incorporate a company containing a human shareholder only. Once the company had been incorporated, you asked us to transfer the shares from the human shareholder to a corporate shareholder free of charge. Unfortunately, we do not offer a free transfer of shares service as this type of service has a high level of administrative complexity and training required; however, we did offer to provide this service to you at our standard charge of £129.99.
Whilst we do not presently incorporate companies that contain corporate shareholders, this may change in the near future.
I have reached out to you directly to understand how we may be able to better improve our communication regarding our policies regarding corporate shareholders at incorporation, where possible. We have not yet received a response to this point, but we remain open to hearing from you if you wish to share them.
We apologise for any inconvenience caused and hope to hear from you soon.

Had a really good experience with Rapid Formations as a non-UK resident setting up a company in the UK.
The process was smooth, clear, and fairly priced. After setup, Yana helped with a few admin changes and was responsive and helpful on the secretarial side.
Their guidance on opening a business bank account is useful, but in reality it can be a bit more complex than expected.
Overall, very happy with the service and would definitely recommend them. Huseyin

I also appreciate you taking the time to discuss your concerns with me directly. Having reviewed your correspondence with my colleague, I understand that you were looking for assistance to reappoint yourself as a director of a company that is not registered with us. As you were the sole director and had previously resigned, the company was unfortunately placed into default by Companies House, as no active directors were listed in the company, and it is a legal requirement for a limited company to have a minimum of one director appointed at all times.
My colleague was correct in advising that we were unable to assist in this matter. As a regulated formation agent supervised by HMRC for anti-money laundering purposes, we are required to follow strict compliance procedures, particularly regarding structural filings such as director appointments. Because the limited company in question is not registered with us, is in default with Companies House, and does not have an active director from whom we can take instructions, this falls outside the scope of our risk appetite.
My colleague did, however, provide guidance on the appropriate next steps, including contacting Companies House directly and seeking independent legal advice. We fully understand how frustrating this situation must be, and we sincerely apologise for any inconvenience caused.
